Terms of Service

These Terms of Service ("Terms") govern your use of the Shiftt Auctions platform and services ("Platform") operated by Shiftt ("we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, placing a bid, or otherwise using the Platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

• You must be at least 18 years of age to use the Platform.
• You must provide accurate and complete information when registering.
• You are responsible for maintaining the security of your account credentials.

3. Platform Description

Shiftt provides a technology platform for running silent auctions on behalf of organisations, charities, schools, and nonprofits ("Organisers"). The Platform enables attendees ("Bidders") to view auction items, place bids, and complete payments.

Shiftt acts as a service provider to Organisers. We are not the seller of auction items and do not take ownership or possession of items listed on the Platform.

4. Bidding Rules

• Binding bids — all bids placed on the Platform are binding commitments to purchase the item at the bid amount if you are the winning bidder.
• Bid increments — bids must meet the minimum increment set by the Organiser.
• Auction close — auctions close at the time determined by the Organiser. The highest valid bid at close wins.
• Buy Now — some items may include a "Buy Now" option allowing immediate purchase at a fixed price. Buy Now purchases are final.
• No bid retraction — bids cannot be retracted once placed unless explicitly permitted by the Organiser.

5. Payments

• Winning bidders are required to pay the full bid amount promptly after the auction closes.
• Payments are processed securely through Stripe. By making a payment, you also agree to Stripe's terms of service.
• Funds are directed to the Organiser's account. Shiftt does not hold auction proceeds.
• Failure to pay for a won item may result in account suspension or removal from future auctions.

6. Organiser Responsibilities

Organisers using the Platform are responsible for:

• Providing accurate item descriptions, images, and starting prices.
• Ensuring they have the legal right to auction all listed items.
• Fulfilling item delivery or collection to winning bidders.
• Complying with all applicable laws and regulations related to their auctions and fundraising activities.

7. Prohibited Conduct

You agree not to:

• Provide false or misleading information.
• Engage in shill bidding (bidding on your own items to inflate prices).
• Interfere with or disrupt the Platform or its infrastructure.
• Use automated tools, bots, or scripts to interact with the Platform.
• Attempt to gain unauthorised access to other accounts or systems.
• Use the Platform for any illegal purpose.

8. Intellectual Property

All content, design, code, and branding on the Platform are owned by Shiftt or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.

9. Disclaimers

• The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not guarantee the accuracy of item descriptions provided by Organisers.
• We do not guarantee uninterrupted or error-free operation of the Platform.
• We are not responsible for the quality, safety, legality, or delivery of auctioned items.

10. Limitation of Liability

To the maximum extent permitted by law, Shiftt shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

• Loss of profits, data, or goodwill.
• Disputes between Bidders and Organisers.
• Errors or interruptions in service.
• Unauthorised access to or alteration of your data.

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the fees you have paid to Shiftt (if any) in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Shiftt, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Account Termination

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or engaged in conduct harmful to the Platform or other users. You may also delete your account at any time by contacting us.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated by posting the revised Terms with an updated "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of New Zealand.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
